What almost every promise leaves out

  • Output you changed, or combined with tools or content the provider did not supply.
  • Output you knew, or should have known, was likely to infringe.
  • Claims caused by your own inputs, data or fine-tuning.
  • Use with the provider’s filters or safety features turned off.
  • Free, trial, beta and preview tiers. The promises are for paying business customers.
  • Trademark claims over using output in trade, for OpenAI, AWS and Anthropic.

Providers not listed here were not checked; that is not the same as offering nothing. Negotiated enterprise contracts can differ from the public terms.

Why an indemnity is not insurance

A vendor indemnity moves one narrow risk, an IP claim over unmodified output used as directed, onto the vendor. Lawyers who reviewed these programs make the same points:

  • An indemnity is only as good as the vendor’s ability to pay, so check whether the vendor carries adequate insurance. Zuva, 24 May 2023
  • Vendor indemnities come with caveats and terms that can limit the AI provider’s liability. Proskauer Rose, 10 Nov 2023
  • AI vendors’ IP indemnity promises are nuanced and can leave businesses exposed, so scope, conditions, exclusions and caps need checking. Ropes & Gray, 4 Jan 2024
  • Platform indemnities are narrow and often fall away where output was modified or the user should have known it infringed. Taylor Wessing, 27 Jun 2024

Everything the promise leaves out stays with you: modified output, your own data, free tools your staff use, and claims that are not about IP at all, such as an AI error that costs a client money. That is where your own policies come in. See does tech E&O cover AI, AI liability insurance and the coverage checker.

Questions

Does OpenAI indemnify customers for copyright claims?

Yes, for its API and for ChatGPT Enterprise, Edu and Healthcare, under the program it announced as Copyright Shield in November 2023. ChatGPT Business is not included in the output indemnity. It does not apply if you modified the output, turned off safety features, or knew the output was likely to infringe, and it does not cover trademark claims over using output in trade.

Do Midjourney or Stability AI indemnify users?

No. On their public terms, users indemnify Midjourney and Stability AI, not the other way round, and both disclaim any promise that their output does not infringe. Meta's Llama 4 license works the same way.

Do AI vendor indemnities cover claims about training data?

Some do. Google says its indemnity applies regardless of the training data behind its services, and Anthropic's commercial terms cover claims about the data used to train its models. Most others are written around the output you receive.

Are AI indemnities capped?

It varies. On the terms we read, OpenAI, Google Cloud, AWS, Anthropic and Perplexity take the indemnity out of their usual liability cap, and IBM and Getty say theirs are uncapped. Mistral's falls inside a 12-month fees cap, Adobe's follows the cap in your existing contract, and several providers state no cap at all.

Is a vendor indemnity the same as insurance?

No. It is a contract promise that only applies when the conditions are met, and it is only as good as the vendor's ability to pay. Claims the vendor will not take, such as those over modified output or your own inputs, land on you, where your own insurance may or may not respond.
